PLEASE READ CAREFULLY. THESE TERMS INCLUDE A BINDING ARBITRATION PROVISION, A CLASS-ACTION WAIVER, AND LIMITS ON OUR LIABILITY (SECTIONS 15-16).
1. Binding Agreement
These Terms of Service ("Terms") form a binding legal agreement between you ("Client," "you," "your") and Firm Clients ("Firm Clients," "we," "us," "our"). By accessing our website, submitting any form, booking a discovery call, or purchasing our services, you agree to these Terms and to our Privacy Policy and Full Disclosure & Earnings Disclaimer, which are incorporated by reference. If you do not agree, do not use our website or services.
2. Eligibility
You must be at least 18 years old and able to enter into a binding contract. Our services are offered to businesses (accounting firms and CPAs); if you are acting on behalf of a firm, you represent that you are authorized to bind it.
3. Our Services
Firm Clients provides done-for-you client-acquisition services for accounting firms and CPAs. Depending on your program, this may include Meta (Facebook/Instagram) advertising management, funnel design and copywriting, follow-up and nurture automation, appointment-booking systems, and sales support materials. The specific deliverables, timelines, performance commitments, and fees for your engagement are set out in your separate Services Agreement / order form ("Services Agreement"). If there is any conflict between these Terms and your Services Agreement, the Services Agreement controls.
4. Application and Discovery Call
Engagements begin with an application and a discovery call so we can determine fit. Submitting an application, booking, or contact form that includes your phone number constitutes your express consent to receive calls (including by autodialer or prerecorded voice) and SMS/text messages from Firm Clients about your inquiry, appointments, and services. Consent is not a condition of purchase. Message and data rates may apply. Reply STOP to opt out at any time. See our Privacy Policy for details.
5. Fees and Payment
Fees are as stated in your Services Agreement. You authorize us (and our payment processor) to charge your chosen payment method for all amounts due. Amounts are in the currency stated in your Services Agreement. You are responsible for all applicable taxes. Late payments may incur a late fee of 2.5% per month (compounding) or the maximum permitted by law, whichever is less. We may suspend or terminate services if payments are more than 14 days overdue.
6. The 90-Day Qualified-Calls Commitment
Our program is built around filling your calendar with qualified calls within 90 days, as described in your Services Agreement. The exact qualification criteria, what counts as a "qualified call," and the remedy if the commitment is not met are defined in your Services Agreement — those terms, not this page, govern the commitment.
7. Refund Policy
Except as expressly stated in your Services Agreement (including any guarantee terms), all fees are non-refundable and all sales are final. Any guarantee is subject to its stated conditions, which may include completing onboarding, attending scheduled calls, implementing required actions, and maintaining agreed ad spend.
8. Chargebacks and Payment Disputes
You agree not to initiate a chargeback or payment reversal without first contacting us in writing to attempt to resolve the issue. Initiating a chargeback in breach of this section is a material breach of these Terms, and you will be responsible for the disputed amount plus a $150 administrative fee and any processor fees we incur.
9. Your Responsibilities
Participate in onboarding and attend scheduled calls, or notify us in advance to reschedule. Provide accurate information about your firm, offer, and numbers. Provide required access (ad accounts, pages, CRM, calendar) and materials within 5 business days of request, unless otherwise agreed. Our services are marketing and business education/implementation services — not legal, tax, financial, or professional advice. Use the services lawfully and treat our team respectfully. We may terminate for misconduct, abuse, or unlawful behavior.
10. Intellectual Property
All website content, training, materials, ad templates, scripts, automations, and systems we provide ("Materials") are and remain the intellectual property of Firm Clients. During your engagement we grant you a limited, revocable, non-transferable license to use the Materials for your own firm's internal business use only. You may not copy, reproduce, distribute, create derivative works from, reverse engineer, remove proprietary notices from, or resell the Materials, nor use them to build a competing service.
11. Testimonials and Content License
If you provide us with testimonials, reviews, case-study participation, call recordings, screenshots, or results data ("Submissions"), you grant Firm Clients a perpetual, worldwide, royalty-free, sub-licensable license to use your Submissions — including your name, likeness, voice, and business results — for any lawful purpose, including marketing, without further compensation, unless you revoke this in writing (revocation applies prospectively only).
12. Confidentiality
Each party agrees to keep the other's non-public business information confidential and not to disclose it to third parties except as necessary to perform these Terms or as required by law. This obligation survives termination.
13. Non-Disparagement
You agree not to make false or misleading public statements about Firm Clients. Nothing in this section restricts truthful, FTC-compliant reviews or testimony required by law.
14. Third-Party Platforms
Our services operate on third-party platforms (including Meta, HighLevel, Stripe, and others), which are governed by their own terms and policies. We are not responsible for the actions, outages, policy changes, or decisions of third-party platforms, including ad account restrictions or disapprovals.
15. Disclaimers — No Guaranteed Results
NO SPECIFIC EARNINGS, REVENUE, PROFIT, LEAD-VOLUME, COST-PER-CALL, CLOSE-RATE, OR RETURN-ON-INVESTMENT RESULT IS GUARANTEED. Results shown in case studies, testimonials, and marketing materials are examples and are not typical — see our Full Disclosure & Earnings Disclaimer. Advertising performance depends on factors outside our control, including platform algorithms, auction competition, your offer, pricing, sales process, and market conditions. The website and services are provided "AS IS" without warranties of any kind, express or implied.
16. Limitation of Liability
To the maximum extent permitted by law: (a) we are not liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits or lost revenue; and (b) our total aggregate liability for any claim arising out of or relating to these Terms or the services will not exceed the amounts you paid to Firm Clients in the 12 months preceding the claim.
17. Binding Arbitration and Class-Action Waiver
Any dispute arising out of or relating to these Terms or the services will be resolved exclusively by binding individual arbitration administered under the applicable arbitration rules in Toronto, Ontario, Canada, and you waive any right to a jury trial and to participate in any class, collective, or representative action.
18. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
19. Indemnification
You agree to indemnify and hold harmless Firm Clients and its owners, employees, and contractors from any claims, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the services.
20. Termination
Either party may terminate for material breach if the breach is not cured within 14 days of written notice. We may terminate immediately for non-payment, misconduct, or unlawful behavior. Sections 6-8 and 10-19 survive termination.
21. General
These Terms, together with your Services Agreement, Privacy Policy, and Full Disclosure & Earnings Disclaimer, are the entire agreement regarding the services. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent.
